Company Secretary (Head of Legal and Compliance) - One Position
Job Purpose
Reporting to the Managing Director, the role holder is responsible for providing overall legal advisory services to the Board of directors and management of the bank to enable the Bank achieve its objectives.
Key Responsibilities
Ensure financial services compliance, drafting of terms and conditions of financial service contracts and various banking product terms, commercial banking facility terms and standard security documentation, human resource and industrial relations practice.
Secretary designate to the Board and Board Committees and discharging the equivalent secretarial functions to the Bank.
Establish an effective Know Your Customer (KYC), Anti Money laundering (AML) and Control of Financing Terrorism (CFT) compliance mechanism in line with policy and legislation.
Champion programs aimed at providing training and awareness on KYC, AML and CFT across the Bank.
Ensure full compliance with all internal policies and procedures, prepare and submit monthly compliance reports to management and quarterly reports to the Board Risk Committee.
Drafting a wide range of complex contracts and documents including but not limited to construction services contracts, merger and acquisition agreements, master lease agreements and build to suit agreements.
Participating in complex negotiations with customers and customers' counsel from commencement through deal closure and post closure follow up and operational implementation.
Researching and submitting legal opinions concerning security documentation, real estate development, government regulations and new regulations and trends affecting the organisation, including but not limited to staff training
Review progress of
outstanding litigation and liaise with and manage external lawyers.
Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
Provide legal protection and risk management advice to management especially on contract management
Review and advise management on legal implications of internal policies and procedures.
Review and draft contracts, agreements and internal policies and ensure that they are in compliance with all statutory or legal requirements.

Minimum Requirements
Qualifications
Bachelor of Laws Degree
Diploma in Legal Practice
Masters in Business Management or law.
Experience required:
Have a minimum of 10 years' experience, of which at least, 6 should be in senior management positions preferably in dynamic banking financial institution
Experience in Legal practice
Experience in Compliance
Experience in Board management
Experience in Legal drafting
Experience in Dispute resolution
Leadership Competencies
Business acumen
Managing vision and purpose
Strategic agility - Ensuring that strategic objectives are translated into tactical delivery vehicles
Negotiation skills
