Team purpose(Governance)To create a business environment that enables Oxfam International, through transparent and accountable governance leadership and practice, to effectively oversee and steer the confederation’s activities to help Oxfam achieve its mission for the communities it serves.


Job Purpose

  • To enable governance as a strategic function across the global Oxfam confederation.
  • To ensure the effective implementation of the current OI governance arrangement.
  • To drive governance best practice and learning at global and national affiliate levels.
  • To contribute to Oxfam’s transition towards an inter-dependent‘worldwide influencing network’ by leading the development of a future-oriented global governance model.Key


    Responsibilities


    Leadership


  • Provide expert advice on the general governance of the Oxfam confederation.
  • Facilitate the understanding and uptake of knowledge, experience and learning on corporate governance best practice from within and beyond the INGO sector.
  • Enable leadership by the OI Chair and OI Executive Director (as Chairs of the OI Board of Supervisors and OI Executive Board, respectively).
  • Support and advise various Committees of the OI Boards (including the OI Governance Committee)and any associated working groups or task forces (e.g. the Governance Review Working Group)on governance issues.
  • Establish OI governance guidelines and support Oxfam affiliates with tools and knowledge in their implementation.
  • Deliver a global governance review that enables diversity, inclusion, effectiveness and account ability as key governance principles across the confederation.Management
  • Ensure that corporate governance standards, procedures and practice are understood and followed(including through maintenance of an OI Governance Handbook).
  • Oversee, in conjunction with the Board Chairs, the Oxfam International governance cycle, including the planning, preparation and delivery of global board meetings/ governance events.
  • Ensure effective support to OI and affiliate Board members in the delivery of their constitutional responsibilities and of best practice in governance(including through induction of new board members).
  • Establish, in conjunction with the OI Board Chairs, arrangements for the delivery and monitoring of the OI Boards’ work plans and for the evaluation of governance quality and board effectiveness/performance, making recommendations for improvement.
  • Oversee the development and delivery of effective global governance systems and procedures, including timely coordination of governance business flows and the implementation of any governance-related delegation of authority schemes.
  • Lead, manage and develop the global OI governance team(including the preparation, implementation and reporting of annual work plans and budgets).
  • Ensure that day-to-day inquiries relating to governance and compliance are answered effectively, providing solutions that best meet the business needs of Oxfam International and that comply with any constitutional, legal or regulatory requirements
  • Liaise
    as required with other staff and/ or external suppliers(including the OI legal team, solicitors or external auditors)to ensure Oxfam International is in full compliance with its constitutional, legal and regulatory requirements. Communication and Information Flow
  • Ensure key corporate documents and governance-related guidance and information is regularly updated and available on the Oxfam International website and/ or intranet.
  • Lead on the preparation, and oversee the timely submission, of all corporate governance papers for the OI Board of Supervisors and Executive Board.
  • Maintain effective communication and working relationships in particular with the OI Chair and OI Executive Director, the OI Governance Committee and Governance Review Working Group, OI Board Committee chairs and members of the OI Management Team
  • Work seamlessly across department or team boundaries in a collaborative and constructive manner.
  • Keep under review all external corporate governance developments and trends that might affect Oxfam International,and ensure that others are briefed as required on these matters and have regard to them when taking decisions.
  • Contribute actively to the leadership of Oxfam International as a member of the extended OI Management Team.
  • Deliver any such other duties that may occasionally arise, which fall within the purpose of the position.


    Technical skills, experience & knowledge Leadership and management


  • Demonstrated change management experience, effective negotiation abilities and informal leadership skills in a complex (global)multi-stakeholder environment.
  • Proven ability to pro-actively engage a diverse range of audiences in a politically astute way, including senior leaders from different cultural and organizational backgrounds.
  • Experienced manager who can direct, motivate and inspire colleagues,and help them achieve and develop(also in a virtual working environment/ relationship).
  • Strong analytical skills and demonstrated ability to be systematic and organized.

    Technical expertise

  • Substantial experience as governance advisor to complex (global) organizations,with experience as a company secretary and relevant professional qualification (or evidence of professional development in corporate governance)desirable.•Demonstrable experience of developing corporate strategy, policy and effective systems in support of organizational objectives and activities.
  • Demonstrable organizational and project management skills,and ability to manage multiple projects to deadlines.


    Communication Skills


  • Ability to liaise with a wide range of people, both internally and externally and at many levels, with credibility, tact and diplomacy.
  • Strong inter-personal and negotiation skills with demonstrated ability to lead, influence and motivate others.
  • Strong report drafting skills and experience of presenting complex issues and reports to meetings at board level.
  • Conscious of the importance of discretion and confidentiality when treating sensitive or personal information.
  • Fluent in spoken and written English(essential), with knowledge of French and/ or Spanish(desirable).
