Job Purpose:
  • Manager, Legal Services will provide advice to the MTRH Board and Management or:i governance, corporate secretarial services, legal, regulatory and compliance matters.
  • He/she will render legal advice to the Chief Executive Officer for any legal actions to be initiated and/or defending the interest of the Board and advising on day-to-day legal matters.


    Responsibilities

    Responsibilities for Manager, Legal Services include:
  • Managing and coordinating the activities of the Legal Department.
  • Implementation and monitoring of development partner programmes related to lega·1 affairs.
  • Ensuring preparation, and timely circulation of the Board minutes and Committee papers.
  • Representing the Hospital internally and externally in negotiation, disputes, consultations, and other proceedings that require legal representation.
  • Preparation of the directorates, and by extension the Board work plan and ensuring its implementation.
  • Coordinate the engagement of external legal counsel in order to ensure value for money in this area.
  • Preparing legal opinions, advisories and briefs and rehandling litigation matters relating to the Hospital where necessary.
  • Drafting of Memorandum of Understanding (MOU) and agreements with other stakeholders where necessary.
  • Providing strategic direction and leading the development of the Hospital's strategy in the area of legal services management to ensure that it is managed with a long-term perspective and that its linked to the Strategic Plan;
  • Provide guidance on the proper application and interpretation of laws and regulations as applicable to the Hospital's Core Mandate and ensure adequacy of controls to mitigate legal and other risks or concerns that may arise thereto.
  • Ensuring compliance with laws, rules and regulations by the Board and Hospital Management.
  • Vetting and drafting legal documents including contracts and leases.
  • Liaising with external lawyers handling legal matters on behalf of Hospital.
  • Rendering professional legal advice to the Chief Executive Officer and management for any legal action to be initiated and/ or defending the interests of the Board.
  • Compilation of any required information, maintenance of documentation and periodically update the Chief Executive Officer (CEO) and the Board.
  • Monitoring legal developments and trends in policies, bills, and serve as source of legal information internally and externally on behalf of the Hospital.
  • Reviewing and providing of feedback on legal aspects.
  • Ensure the Hospital's compliance with regulatory requirements such as annual submission of legal, financial and other mandatory reports.
  • Provision of hands-on, practical and innovative guidance to the Hospital.


    Minimum Requirements
  • Bachelor of Laws Degree (LLB) in
    from a recognized institution.
  • Diploma in Law from Kenya School of Law.
  • Master of Law Degree (LLM) from a recognized institution.
  • Certified Public Secretaries Certificate(CPS) (K) qualification from a recognized institution.
  • Served in a senior relevant position in the public or private for a minimum period of Eight (8) years, five (5) of which must have been as a Judge of the High Court, or Advocate of the High Court, Assistant Corporation Secretary or its equivalent.
  • Must have been Admitted to the bar and Commissioner of Oaths.
  • Valid 2022 Practicing license and of good standing.
  • Must have attended Corporate Governance course lasting at least five (5) days or its equivalents from a recognized institution.
  • Senior Management course lasting not less than four (4) weeks from a recognized institution.
  • Proficiency in computer applications.
