Job Summary

  • The Company Secretary for K.I.L is responsible for all legal matters related to the company in the Distribution and Sale of Electricity in Uganda.

  • He or she will provide legal support to the operations of K.I.L with special emphasis to corporate governance in the energy sector, ensuring that K.I.L complies with standard financial and legal practice and maintains high standards of integrity.

  • He or she is responsible for reviewing and preparing contracts and other corporate and legal documents ensuring compliance with the regulation and laws as well as labour and employment obligations.

    Job Description.

  • Complying with the electricity regulations applicable to the activities and operations of K.I.L

  • Prepare the appropriate legal documents for trial or court proceedings and represent the company in legal proceedings.

  • Overseeing K.I.L policies, making sure they are kept up to date and referred to the appropriate committee for approval.

  • Maintaining statutory books, including registers of K.I.L members, directors and secretaries.

  • Organizing and preparing agendas and papers for Board meetings, committees and annual general meetings of K.I.L.

  • Taking minutes, drafting resolutions, lodging required forms and annual returns by K.I.L and following up on actions from K.I.L Board Meetings

  • Ensuring that the company’s transactions comply with corporate laws and regulations while actively helping K.I.L to avoid possible legal risks and violations.

  • Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant K.I.L stakeholders.

  • Contributing to meeting discussions as and when required, and advising the K.I.L Board members of the legal, governance, accounting and tax implications of
    proposed policies.

  • Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action.

  • Guide Board and management on regulatory and compliance issues to ensure compliance with legal regulations and employment laws.

  • Taking responsibility for the health and safety of K.I.L employees and managing matters related to labour, insurance and property.

    Job Requirements:

    • Bachelor’s degree in Law plus a post graduate from Law Development Centre (LD C)

    • He or she should be an advocate of the High court and other subordinate courts

    • A minimum of 3 years’ experience as a corporate lawyer. An experience in the Electricity supply industry shall be an added advantage.

    • Excellent communication skills, both verbally and in writing.

    • Highly analytical with a strong attention to detail.

    • Outstanding managerial and negotiation skills.

    Additional Individual Attributes:

  • Good moral conduct.

  • Good interpersonal and public relations.

  • Able to work under minimum supervision.

  • Computer literate.

  • Knowledge of commercial laws.

    Age: Between 30 – 45 years
