Duties and Responsibilities

The Company Secretary will head the Legal Services and provide Secretariat services to the Board. The officer at this level will be responsible to the Board and Managing Director for the management and coordination of the Legal function and Board activities. Specific duties and responsibilities at this level will entail:-

  • Providing guidance to the Board on their duties and responsibilities;

  • Assisting the Board in keeping custody of Board and Committee papers;

  • Proposing reviewing of existing laws and regulations governing the Company;

  • Interpreting legal legislation for the Company;
    Board induction and training, updating the Board and Committee charters, preparing Board work plans and implementation of the code of conduct and ethics and Mwongozo code governance;

  • Ensuring timely preparation and circulation of Board and Committee papers and minutes;

  • The custodian of the seal of the company;

  • Maintaining and updating the register of conflicts of interest;

  • Ensuring Board members and staff are aware of all relevant laws;

  • Ensuring legal compliance to legislative provisions and regulations;

  • Developing legal strategies aimed at forestalling disputes, controversies, and litigation;

  • Conducting legal research;

  • Liaising with external lawyers and the Office of the Attorney General, Office of the Director of Public Prosecutions on legal matters;

  • Representing the company in litigation and various legal matters;

  • Drafting legal documents, leases, and contracts;

  • Preparing case files for hearing;

  • Ensuring annual returns are promptly filed with the relevant authorities; and

  • Ensuring the planning and budgeting for the Legal
    Unit.

    Requirements:

  • At least fifteen (15) years’ work experience, five (5) years of which should be at a management level;

  • Bachelor of Laws (LL. B) degree from a recognized institution;

  • Master's degree in Law (LLB) or equivalent qualification from a recognized institution;

  • Post-graduate Diploma in Law (Advocates Training Programme) from the Kenya School of Law;

  • Admission as an Advocate of the High Court of Kenya;

  • A valid practicing certificate;

  • Membership to the Law Society of Kenya (LSK) and the Institute of Certified Public Secretaries of Kenya (ICPS (K));

  • Certificate in Leadership Course lasting not less than four (4) weeks from a recognized institution;

  • Proficiency in computer applications;

  • Demonstrated professional competence and administrative capability as reflected in work performance and results; and

  • Fulfilled the provisions of Chapter Six of the Constitution.
