KCB Bank Senior Legal Counsel, Governance & Shared Services Jobs in Kenya
Responsibilities
Coordinate board meetings and ensure timely presentation of board papers.
Develop and review Board policies, charters, governance policies, and constitutive documents to ensure compliance with laws, regulations, and best practices.
Compile and update Board Annual Work Plan and subsidiary governance procedures.
Ensure subsidiary corporate records and regulatory compliance.
Support onboarding of new directors, induction programs, and Board activities.
Monitor developments in corporate governance and ensure proper administration of subsidiaries.
Prepare and review board papers, pre‑minutes, and assist in AGM preparations.
Schedule board meetings, prepare matters arising, and pre‑minutes.
Advise subsidiaries on governance practices in line with Board Charters, Governance Policy, and applicable laws.
Monitor compliance with legislation and governance standards across subsidiaries.
Prepare and disseminate quality board packs in standardized templates.
Promote knowledge and understanding of governance principles in subsidiaries.
Assist during Board, Committee, and Shareholder meetings and follow up on action points.
Prepare annual and statutory returns and ensure timely filing in Kenya and subsidiaries abroad.
Monitor legislative developments and industry best practices.
Support Board evaluations and performance appraisals.
Respond to information requests internally and externally.
Ensure corporate disclosures
to regulators and stakeholders comply with law.
Maintain strong relations with internal and external stakeholders.
Coordinate key governance projects under the Head Counsel, Governance & Shared Services.
Qualifications / Work Experience
Academic Bachelor’s Degree in Law (required).
Academic Diploma in Law (required).
Professional CPS(K) certification (required).
Professional Minimum of five (5) years’ post‑admission experience in company secretarial, corporate governance, and legal/regulatory compliance.
Professional Excellent written and verbal communication skills.
Professional Strong attention to detail, teamwork, and integrity with ability to uphold confidentiality.
