The Kenya Agricultural and Livestock Research (MLR) Act 2013, established the Kenya Agricultural and Livestock Research Institute (KALRO) to primarily promote, streamline, coordinate and regulate research in crops, live-stock, genetic resources and biotechnology in Kenya.

It is in this pursuit that the Management of KALRO wishes to advertise and competitively seek a result oriented, self driven individual of high integrity to the position of Assistant Director Legal Services /Corporation Secretary

Purpose

The Assistant Director Legal Services /Corporation Secretary will be required to oversee the provision of legal advice and services to the Organization in order to obtain favorable terms in contractual engagements and ensure the interests of the Organization are safeguarded but specifically to provide guidance to the Board on their duties and responsibilities and on matters of governance and assist the Board in carrying out the following:

  • Board induction and training;
  • Updating the Board and Committee charter;
  • Preparation of Board work plans;
  • Preparation of Board Evaluation;
  • Implementation of the code of conduct and ethics;
  • Ensure the timely preparation and circulation of Bard and Committee papers;
  • Ensure timely circulation of Board ad Committee minutes; vii) Be the custodian of the seal of the Organization and account to the Board for its use;
  • Maintain and update the register of conflict of interest;
  • Ensure that Board members are aware of all relevant laws affecting the organization;
  • Facilitate effective communication between the organization and the stakeholders;
  • Ensure that annual returns are promptly filed with the relevant authorities; sin Except in exceptional circumstances, ensure that Board and Committee papers are circulated in advance of any meeting.
  • Ensure compliance with statutes, regulations and procedures;
  • Keep custody of legal documents;
  • Formulate and review legal polities and practices; will Identify, mitigate legal risks and develop remedial plans;
  • Review legal implications of internal policies and procedures;
  • Manage external lawyers in regard to litigation_

    Job Specifications

    For appointment to these position, a candidate must:-

  • Twelve (12) years' experience, at least three (3) years as Principal Officer, Legal Services or its equivalent providing Board secretarial services within the public, private sector of an equivalent position preferably in a large organization;
  • Have a Bachelor's degree m Law (LLB) from a recognized institution;
  • Have a Master's degree in Law (LLM) from a recognized institution;
  • Have a valid Practicing Certificate from Law Society of Kenya;
  • Be an
    Advocate of the High Court of Kenya;
  • Have a Diploma in Law from Council of Legal Education;
  • Have a Certificate in A Strategic Leadership Course lasting not less than four (4) weeks from a recognized institution;
  • Have an outstanding professional competence in legal work as reflected in work performance and results; and
  • Fulfilled the requirements of chapter sit (6) of the Constitution of Kenya.

    In addition, candidates should demonstrate the following Personal Traits and Competencies:

  • Certified Public Secretary CPS(K) and be a member in good standing with the Institute of Certified Public Secretaries of Kenya;
  • Experience in providing company secretarial services within large public or private sector institutions;
  • Experience and knowledge in corporate law within public or private sector;
  • Demonstrated experience in corporate governance;
  • Evidenced knowledge and demonstrated experience in corporate governance;
  • High standards of ethic integrity and confidentiality;
  • Strong interpersonal skills

    Terms of Service and Remuneration
  • The successful candidate will serve on a five-year (5) contract, renewable, subject to satisfactory performance and delivery of set performance targets and outcomes.
  • The salary and other benefits attached to this position will be determined by the Board in accordance with the KALRO approved Remuneration.
