Background:

Uganda National Oil Company Limited ('UNOC') was established under the Petroleum (Exploration, Development & Production) Act, 2013.

It is a limited liability Company that is wholly owned by the Iernment with two shareholders namely the Minister of Energy & ral Development (51%) and Minister of Finance, Planning & omit Development (49%).

core mandate is to handle the State's commercial interests in the petroleum sub-sector and the State Participation in petroleum activities.

Our vision is to be an innovative and profitable company that operates across the petroleum value chain for the benefit of all Ugandans and our mission is to drive sustainable growth of the Oil & Gas sector through strategic partnerships and championing national participation.

UNOC is involved in upstream, midstream and downstream operations in Uganda. Our upstream operations include managing the State's 15% State Participating interest in all production licences so far issued and our planned acquisition of new acreage for exploration.

In the midstream sector, our involvement is in the East Africa Crude Export Pipeline(EACOP) and the Refinery Project whereas our downstream operations include the planned Kabaale petro-based industry park, the planned Kampala petroleum products storage terminal and the Jinja petroleum products terminal. Objective

UNOC is in the process of setting up a panel of law firms to provide le al services to the company.

The services will be rendered under a agreement whereby the law firms will only be paid for assessment, interpersonal skills and excellent communication and mediation/ arbitration skills.

  • Willingness to provide capacity building/on-job training for UNOC employees.
  • In the case of an international law firm, the firm should demonstrate an association with a law firm that is registered in Uganda and a system that ensures that local law aspects of any legal advisory brief are either exclusively or primarily handled by the affiliate firm that is registered in Uganda.
  • UNOC will retain the right to specify the assignments which should be exclusively or primarily handled by local counsel.
  • The consultant must be familiar with the Uganda Legal & Regulatory Framework applicable to Oil & Gas Industry.

    The work anticipated to be covered by this framework agreement includes:

  • Drafting and/or reviewing upstream agreements that are required to be in place prior to taking of the Final Investment Decision by the upstream Companies for Tilenga and Kingfisher Development Areas and any future agreements pertaining to these fields (Existing Licensed Fields).
  • Drafting and negotiating key upstream agreements for UNOC's new venture prospects including Joint Operating Agreements, PSAs and any other relevant agreements.
  • Providing advisory services for midstream and downstream projects from project inception through to commissioning/ implementation.
  • Providing advisory services in the development and management of the Kabaale Industrial Park(KIP), a petrol-based industrial

    Selection Criteria
  • The short-listed firm(s) will be selected in accordance with UNOC Procurement Policies and applicable Law.
  • The firm (s) should submit all information required and /or deemed relevant for this EOI as set out above.

    The respective EOI should include the following information:

  • Legal name of the Firm
  • Legal representative properly authorized to sign the Expression of Interest on behalf of the firm
  • Address
  • Telephone number
  • Email address of contact person and website
  • Information about the firm, its principal areas of expertise and activities, description of specific experience relating to the oil and gas industry, and key clients.
  • Basic information regarding commercial, financial, tax and technical entities that the firm has partnered with to provide holistic project advisory services relating to the oil and gas industry.
  • Information on any projects related to Uganda upstream operations being undertaken on behalf of the IOCs currently
    operating in Uganda.
  • In the case of a consortium, information regarding its association with the firms comprising of the consortium, including the nature of the working relationship amongst

    The expertise the company is looking for includes:
  • Knowledge of the oil and gas industry covering upstream, midstream and downstream operations.
  • To this end, the firm should have provided legal advisory services to at least five upstream projects and/or three midstream projects.
  • Wide geographic experience in upstream, midstream and downstream operations and regional experience i.e. having worked on upstream and midstream projects in the East Africa or Africa shall be an added advantage.
  • Experience with partnering with commercial and technical entities to provide holistic oil and gas project advisory services
  • Experience with working with Government and/or National Oil Companies.
  • Interested parties should demonstrate a high level of integrity, sound judgement, legal and professional skills, legal risk
  • Providing advisory services on corporate structuring of UNOC and its subsidiaries
  • Drafting, review and/or negotiating agreements for midstream and downstream projects that UNOC participates in.
  • Sourcing for commercial, financial, tax and technical expertise with whom the firm shall provide holistic project advisory services.
  • Providing legal advisory services such as legal opinions as and when required on the application and interpretation of contracts and laws.
  • Any other work related to the projects that UNOC participates in.
