Exciting Professional Services Opportunities at WWF-Kenya



WWF-Kenya is a locally registered conservation NGO and an affiliate of WWF-International.


WWF-Kenya has supported conservation work in Kenya since 1962 as part of programme office of WWF-International until September 2016 when it was transformed into a National Organisation.

Part of the transformation was the change of governance from WWF International to Board of Directors. The Board is responsible for overseeing the strategic implementation of conservation programmes in Kenya, asset management and overall oversight.


For effective Board functioning, WWF-Kenya is seeking the services of a qualified and experienced service provider to offer Board Secretarial Services including record taking and keeping during and after Board Meeting.


Responsibilities


  • Assisting in reviewing the agenda for Board meetings in consultation with Management and/or the Chairman.
  • Taking credible minutes of Board Meeting(s) including draft action items arising out of such meetings.
  • Participate on invitation, as a silent observer, in Board Meetings and taking minutes thereafter.
  • Advising the Board of Directors on statutory procedures relating to meetings.
  • Providing administrative support with respect to the distribution of Board papers and records that may be required for Board Meetings deliberations.
  • Ensuring that Board minutes and actions thereof are promptly followed through with the NGO Board for appropriate action.
  • Advising the Board on all matters to comply with applicable regulations of the NGO Board.
  • Contextualizing the constitution of WWF-Kenya in all matters pertaining to the general conduct of the WWF-Kenya Board


    Requirements


  • 10 years’ experience in conducting and executing
    strategic Board meetings and management.
  • 5 years’ experience of managing Board level relations with Senior Management teams.
  • 5 years’ experience of dealing with applicable regulations of the NGO board.
  • Excellent skills in professional minute writing and meeting management demonstrated in previous assignments.
  • Proven track record of working effectively with CEOs, Senior Management teams and Boards (Executive/Advisory).
  • Requirements for submission
  • Profile detailing background and areas of specialization, qualifications of key staff and outline of major clients.
  • Financial Proposal detailing professional fees (State if tax inclusive).
  • Demonstrate your capacity to undertake the tasks described above and provide reference as appropriate.
  • Curriculum Vitae of lead consultant/person(s) assigned to perform the task. (Certified Public Secretaries qualification is a MUST).
  • Support documentation e.g. Company registration, tax compliance certificate.
  • Any other information that may be useful for reference may be cited and later provided if requested
