Job Description

Job Purpose

Serve as legal adviser to various company business units regarding corporate, commercial, transactional, contract, employment, finance, IP, litigation, construction, real estate and general practice matters with a matrix reporting line to ensure the corporate and local legal operational legal requirements are met.

Duty & Responsibility

Transactions, Legal Research and Analysis

  • Provide legal advice and guidance for the Company, its subsidiaries, the parent company and related parties on the relevant projects and other operational activities.

  • Review, prepare and analyze contracts, agreements and other legal documents and recommend suitable alternatives to legal issues whenever necessary highlighting commercial risk issues based on corporate and industry standards terms and conditions.

  • Synthesize legal research and analysis into a coherent written memorandum or brief for submission to the Company’s relevant departments, court or arbitrator

  • Draft, review, negotiate and amend all standard and non-standard documentation used within the company.

  • Prepare and process all contractual documents required by the company in its carrying out of its business activities.

  • Keep up to date with laws and procedures relating to the company’s business.

  • Research and monitor legal frameworks relevant to the company’s business and advice company accordingly.

  • Study and review existing as well as proposed policies and the relevant bylaws influencing the Company’s activities from legal and risk management perspective.

    Due Diligence, Contracts and Disputes

  • Provide recommendations and legal advice relating to all forms of contract disputes, including litigation and arbitration to various business units.

  • Proactive identification of legal issues and risks for management consideration and provide appropriate risk mitigation strategies.

  • Negotiate contractual issues and legal disputes, including settlement discussions with third parties.

  • Perform due diligence in legal matters concerning
    contracts, agreements, and mergers and acquisitions.

  • Ensures compliance with the applicable laws and covenants under various agreements and contracts.

  • Review, draft and negotiate legal agreements to be entered in to by the Company with third parties.

  • Managing litigation cases and arbitration work with outside lawyers as and when the need arises

    Legal Stakeholder Activities

  • Participate with internal clients in commercial negotiations of all types.

  • Manages the outsourcing of legal advice and assistance as required

  • Assist the General Counsel of EH in developing the necessary budgets and annual operational plans whenever necessary.

  • Represent the organization when dealing with government issues and third parties.

  • Lead work streams in projects and other operational matters

    Matrix Stakeholder Relationship Management

  • Ensure solid line Manager is aware of KPIs, progress and ongoing requirements

  • Ensure dotted line Manager is aware of day-to-day activities and conduct operational tasks that may be day-to-day communication and/or specific activities and projects for the position

  • Ensure both line manager receive high level communication and required progress reports and KPIs updates

    Job Requirements

    Qualifications, Experience, & Skills

    Required Qualifications:

  • Bachelor’s degree of Law

  • Master’s Degree an asset

  • Bar association membership

    Preferred Experience:

  • 8-12 years’ experience in real estate development and general legal practice experience in corporate/commercial fields.

  • 2-4 years’ experience in an international law firms or multinational companies.

    Job Specific Skills:

  • Significant experience of development work and real estate transactions.

  • A strong grasp of key real estate principles, contracts, issues and structures.

  • Strong understanding of the real estate business and the legal implications of the same.

  • Exposure to corporate and commercial experience.

  • Experience in legal management of employment, IP, litigation and sales & marketing matters.
