The role holder is responsible for drafting and reviewing Bank services and other contracts, rendering legal support in the recovery area and is principally responsible for the general Legal Office Administrative Management including handling the custody of contracts and external correspondence. The role also renders general company secretarial support under the supervision of the Company Secretary


Responsibilities


  • Draft and review contracts, offer letters, letters of intent and other similar documents as per the respective internal approvals to ensure they comply with the approved internal conditions and are in enforceable form upon execution.
  • Manage the execution, filing and custody of contracts and such other documents that are binding on the Bank.
  • Support the credit operations unit with review of specialized documentation for credit facilities including securitization to ensure no exposure may arise to the Bank as a result of inappropriate credit documentation.
  • Manage the registration, filing and custody of Board documents/materials including resolutions, minutes and approvals and avail the same to relevant parties on request.
  • Review the special assets files for completeness and compliance with the recovery policy and process flow, draft demand letters and letters appointing external debt collectors to avoid legal or any other regulatory or administrative challenges in the recovery process.
  • Offer general Legal Advisory Services to all business functions and the operational functions of the Bank to ensure Legal and Regulatory compliance so as to shield the Bank from all operational and legal risks and losses.
  • General office management including organizing department meetings, timely and proper filing of and tracking of department correspondences and ensuring prompt and appropriate response to all routine correspondences and queries raised relating to the operations of the Bank.


    Requirements


  • 6 years of working experience in a busy Law Firm or related environment.
  • Good
    grasp and in-depth knowledge of the Principles and Laws governing Banking and Corporate Law, Leasing/Asset finance, Land and Mortgage law, Employment Law and Contracts Law.
  • Good grasp of the Civil Procedure Act and Rules to ably guide external lawyers on how to best represent the Bank.
  • Knowledge of the Law and best practice on repossession, realization security and receiverships.
  • Exposure of working in a busy private Law Firm handling litigation and recovery matters.
  • Exposure to internal Bank Credit Operations.
  • Computer literacy in word, excel, and other applications.
  • Team player with ability to relate well.
  • Excellent interpersonal and communication skills with ability to communicate information in a clear and concise manner.
  • Ability to work well under pressure and with minimum supervision.
  • Self-driven and result oriented to ensure efficient management of deliverables.
