CDL Human Resource Head of Legal - Microfinance Jobs in Kenya; To provide overall leadership and direction for the legal function, ensuring the organization operates within the law while minimizing risk and supporting strategic objectives. The role oversees legal advisory, corporate governance, contract management, regulatory compliance, litigation, debt recovery, and policy development.

Key Responsibilities

Legal Advisory & Compliance

  • Provide legal advice to management and departments on operations, strategy, and risk.

  • Ensure compliance with laws, regulations, and industry standards (Data Protection, CBK guidelines, Employment Law, Credit Market regulations).

  • Advise on legal implications of new initiatives and product development.

    Contract Drafting & Review

  • Draft, review, and negotiate contracts, SLAs, loan agreements, NDAs, supplier and partnership agreements.

  • Ensure contractual terms protect against legal, operational, and financial risks.

  • Maintain updated contract repository and renewal calendar.

    Litigation & Dispute Resolution

  • Oversee litigation including debt recovery, commercial disputes, and employment cases.

  • Liaise with external counsel, provide instructions, and monitor case progress.

  • Support internal teams on dispute resolution and ensure timely documentation.

    Corporate Governance

  • Ensure governance structures align with statutory requirements.

  • Prepare and review board papers, resolutions, and minutes.

  • Ensure statutory filings and company secretarial functions are up to date.

    Debt Recovery & Credit Risk Support

  • Provide legal guidance on debt recovery, restructuring, security perfection, and enforcement.

  • Oversee demand letters, settlement agreements, and security documentation.

  • Advise on legal risks in lending and credit operations.

    Policy Development & Risk Management

  • Develop and update internal policies, SOPs, and compliance frameworks.

  • Identify legal risks and recommend corrective action.

  • Conduct staff training on compliance and regulatory
    changes.

    Stakeholder & Regulatory Engagement

  • Maintain relationships with regulators, government agencies, external lawyers, and partners.

  • Represent the organization in negotiations, meetings, and external forums.

    Qualifications & Experience

  • Bachelor of Laws (LLB) from a recognized institution.

  • Advocate of the High Court of Kenya with valid practicing certificate.

  • 7–10 years’ legal experience, with 3–5 years in senior/managerial role.

  • Experience in financial services, banking, microfinance, credit, fintech, or related sectors.

  • Mandatory experience in microfinance industry or Tier III bank.

  • Strong expertise in contract drafting, compliance, litigation, debt recovery, and governance.
