Job Summary:

Description of the purpose of the job
Support the Company Secretary in supporting UEGCL’s operations by providing quality in house legal services as well as managing the regulatory affairs of the company.

Key Responsibilities:

Brief description of duties or the responsibilities for the job

1) Leadership role

Provide leadership and ensure efficient and effective management of staff and resources in the Legal Department.

2) Planning and Reporting

i) Prepare consolidated departmental reports for the Company Secretary and Top Management.
ii) Monitor performance of the Legal and Compliance Department in achieving the objectives of its Annual Performance Plan and report to the Company Secretary.
iii) Coordinate the distribution of work in consultation with Company Secretary to ensure efficient, effective and quality service delivery within the Department.

3) Administration and Management

i) Provide continuous leadership, supervision, training and development of department staff ensuring an effective and motivated team;
ii) Liaise with the HR department in conducting performance appraisals and ensure competency and training gaps are addressed.
iii) Prepare and submit to the Company Secretary bi monthly progress reports on assignments handled by the Department.
iv) Supervise external and internal legal counsel, issue instructions and review legal opinions prepared by legal counsel to ensure quality.
v) Manage external and internal legal resources i.e. law books, law reports, databases.
vi) Coordinate the preparation and implementation of the annual Legal Department staff leave roster;
vii) Participate in the preparation of the Departmental budget for review by the Company Secretary;
viii) Prepare annual procurement plans for review by the company Secretary, and monitor their implementation on quarterly basis.
ix) Conduct a training and development needs assessment and ensure appropriate training for the legal team to achieve CLE requirements.
x) Establish and manage effective relationships with internal customers and execute customer service charters/service level agreements with each of them using a private legal practice approach.
xi) Establish and foster good working relationship with the Solicitor General’s Office, The Regulator, Ministry of Energy & Mineral Development, Ministry of Finance, Planning & Economic Development and other stakeholders in the electricity Industry.
xii) Deputise the Company Secretary.

4) Legal risk

i) Review and provide legal advice on tender documents.
ii) Review ongoing cases and advice management accordingly.
iii) Manage the litigation risk of the company
iv) Recommend to Management the litigation risk and mitigation measures.
v) Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
vi) Provide legal protection and risk management advice to management especially on contract management.
vii) Provide and interpret legal information, conduct training and disseminate appropriate legal requirements to staff.
viii) Responsible for all insurance matters including coverage of insurance to all company properties, its renewal in time, accident claims, and claim settlement.
ix) Conduct legal due diligence on investment, procurement, employment transactions that the company intends to enter into, or such other transactions as the Company Secretary shall instruct from time to time and review due diligence reports and transaction documents prepared by the legal officers.
x) Identify, manage and mitigate legal risk in all transactions that the company intends to enter into.


5) Legal Advisory and Support

i) Provide proactive and practical legal and advice on all legal matters pertaining to the company business operations particularly on company matters, projects, Electricity Generation, Environment, safety and Water including the interpretation and application of the laws listed and other relevant legislation;

ii) Revise, draft and negotiate general commercial contracts and draft, vet, negotiate and/or review contracts, offer letters, term sheets, deeds, instruments and all other legal documents prior to execution.

iii) Provide legal advice and support to the Business Units and Departments, Disciplinary Committees, Contracts Committee and other Management Committees.

iv) Review and vet contracts prepared by Legal Officer for quality assurance;

v) Recommend appropriate amendments to the Electricity Act and any other laws having an impact on the company’s business.

vi) Develop templates, best practices, policies and procedures for the legal advisory services division for approval by
the Company Secretary.

vii) Liaise with the Department responsible for Information Technology to mainstream legal department templates and workflows in the Enterprise Resource Planning System.

viii) Advise on land acquisition, feasibility studies, Resettlement Action Plans for Project Persons and on obtaining and transfer of land, relevant Permits and Licences.

6) Contract negotiation
i) Review all contracts or any other documentation where the Company has committed itself and assess legal implications that need to be brought to the executive management’s attention.
ii) Prepare, review and modify contractual instruments to assist and support various business activities.
iii) Negotiate, review and draft documentation for business transactions and prepare and advise on the necessary checklist to be adopted to ensure information is submitted on time.

7) Policy development
i) Review and advise management on legal implications of internal policies and procedures.
ii) Review and draft contracts, agreements and internal policies and ensure that they are in compliance with all statutory or legal requirements.

8) Litigation management
i) Review progress of outstanding litigation and liaise with and manage external lawyers.
ii) Ensure effective representation of the company in the courts of Judicature and Tribunals
iii) Review and approve pleadings for litigation by and against the company.
iv) Manage Alternative Dispute Resolutions like mediation, arbitration and/or conciliation of all matters for the Company.
v) Prepare Legal opinions on the merits/demerits/strategy of litigation in each case.
vi) Secure, Store and evaluate evidence to be adduced and determine its adequacy.
vii) Prepare monthly reports on the status of all cases.
viii) Supervise and monitor performance of external Counsel and recommend tax invoices/fee notes for settlement.
ix) Conduct research and legal analysis of litigation issues and advise management accordingly.
x) Safely and securely maintain case files.


9) Regulatory compliance
i) Develop, maintain and update a Compliance Programme

a) Asses the relevance and impact of existing legislation on the business with focus on the law relating to Companies, Electricity, Environment Procurement, Employment, Tax, Land, and Water.
b) Design, implement and manage an effective legal and regulatory compliance program and standards for all strategic business units.
c) Propose legal and compliance controls for mainstreaming into the business processes, policies and procedures of the company
d) Foster and instill an organizational culture throughout the company which reflects a commitment to compliance with the law.
e) Conduct legal and regulatory compliance audits and report the same to management for appropriate action.
f) Ensure compliance direction is aligned with business strategies.
g) Execute the company’s compliance strategy on a day to day basis.
h) Design tools to monitor compliance with the law and regulatory requirements; Innovate and manage a Compliance action tracker to ensure that compliance is embedded within all aspects of the business processes of the company.
i) Maintain and regularly update a database of Acts, conventions, statutory instruments, bye laws, judgements and other related documents with a direct or indirect impact on the company.
j) Provide feedback to the Company Secretary regarding the company’s legal compliance and any internal and external identified risk and make recommendations on mitigating actions.

ii) Compliance management

1. Recommend to the Company Secretary and Management compliance controls.
2. Ensure that compliance issues are addressed and corrective actions are taken as appropriate.
3. Pro-actively identify proposed legislation, asses its impact on the business of the company and make recommendations.
4. Monitor changes in the legal system, review new and proposed regulations and their impact on the Company and advise management accordingly.
5. Provide compliance advice to the Departments and Business units and the Management of the company.
6. Review the company’s Policies, Procedures and Manuals for compliance with legal and regulatory requirements and make appropriate recommendations.
7. Prepare monthly compliance reports for submission to Management.

iii) Audit

1. Conduct enterprise wide legal, regulatory and compliance audits.
2. Map audit findings to root causes and structure a strategic approach to address them.
3. Communicate emerging issues, potential risks, and audit results to key Stakeholders.
4. Appraise and communicate compliance control strengths and weaknesses with compliance in order to plan an effective and efficient integrated audit approach and remediation plan.
