Act as a trusted advisor to Commercial Banking customers in relation to mergers and acquisitions transactions, raising of private equity capital and other related strategic client activity.
To source all required financial information pertaining to mergers and acquisitions, transaction financing and structuring deals for Commercial Banking customers in PBB SA in order to prepare relevant recommendations for an optimal financial solution.
To manage the execution of transactions across multiple workstreams e.g. financial modelling and analysis, valuations; due diligence processes; design and preparation of marketing materials (sell-side); provision of finance (external / internal); review of legal agreements; application of relevant legislation across countries and managing regulatory approvals as may be required etc.
Utilises knowledge of industries, clients and macro-economic factors to identify relevant transaction themes and generate transaction ideas for Commercial Banking clients.
Prepares and pitches transactions to relevant clients in order to secure new advisory mandates.
Develops relationships with and liaises with relationship managers, senior bankers and client service teams across the bank to receive input regarding potential transaction ideas.
Plans the execution of the transaction i.e. timelines, roles and responsibilities (e.g. for any further legal requirements, due diligence requirements) and submits to line management for approval.
Manages the day-to-day transaction plan e.g. planned tasks that need to be completed by multiple parties involved in the transaction each week to ensure successful completion of the transaction and keeps Head, Advisory (Commercial Banking) appraised of progress.
Identifies further possible transactions and prepares relevant proposals in order to drive further business opportunities for Commercial Banking.
Buying of assets
Prepares detailed valuations and returns analysis of the asset based on detailed information (e.g. financial statements, forecasts etc.) from the selling party.
Prepares presentations as may reasonably be required in relation to the transaction, including for the Board of Directors of the customer, counterparties to and stakeholders in the transaction, and regulators and prepares appropriate recommendations.
Prepares documentation as may reasonably be required by the client in relation to the transaction, including, inter alia, offer letters to selling party.
Extracts relevant information of the transaction as may reasonably be required by the client e.g. price/volume analysis, and further information requested by customer.
Additional items in relation to BEE buy-side transactions
Assesses structure, terms and conditions of the BEE transaction
Ensures the valuation is adjusted appropriately for BEE specific parameters e.g. lock-in periods, liquidity, financing etc. in consultation with Head, Advisory (Commercial Banking)
Assesses the sustainability of the BEE transaction in the customer’s best interest.
Selling of assets
Prepares detailed valuations of the asset based on detailed information (e.g. financial statements, forecasts etc.) from the client.
Identifies potential purchasers and, in consultation with Head, Advisory (Commercial Banking), assists in selecting disposal process participants.
Prepares a “Request for Expressions of Interest” document, utilising information provided by the customer, including financial information.
Prepares a summary presentation for the
Considering and evaluating all expressions of interest received; and
Formulating potential transaction structures, based on the expressions of interest received.
Compiles an “Information Memorandum” document, utilising information provided by the client, to solicit non-binding indicative offers.
Prepares summary presentation to assist customer in considering and evaluating all non-binding indicative offers received.
Prepares the following for the customer:
Data room (containing detailed material information) in respect of the asset;
Site visit plan to review the asset’s operations; and
Management presentation in respect of asset, for purposes of soliciting binding offers in respect of the asset.
Prepares presentations as may reasonably be required in relation to the transaction, including for the Board of Directors of the customer, counterparties to, and stakeholders in, the transaction, and regulators and prepares draft recommendations.
Prepares documentation as may reasonably be required by the client in relation to the transaction.
Provides such ongoing support in respect of the transaction as may reasonably be required by the client.
Additional items in relation to BEE sell-side transactions
Assists in identifying and evaluating potential black economic empowerment partners in consultation with Head, Advisory (Commercial Banking);
Assesses the ability of potential black economic empowerment partners to participate in the transaction in consultation with Head, Advisory (Commercial Banking);
Prepares analysis (in conjunction with an approved external consultant) on the impact of the transaction on the customers black economic empowerment ownership targets, as measured by the relevant Industry Codes and the BEE Codes of Good Practice of the Department of Trade and Industry.
Works closely with Standard Bank equity and debt financing, global markets and transactional product teams as appropriate to successfully complete the transaction.
Risk and Compliance
Prepares transaction proposals for review by Head, Advisory (Commercial Banking) for submission to PBB Risk and Compliance for approval. (In response to a customer seeking advice, as delegated by line management)
Prepares draft advisory services contract with relevant customisation for the specific customer (for approval from PBB Legal where required, when deviating from standard contract) for review by Head, Advisory (Commercial Banking) in order to proceed with the advisory service.
Adheres to all risk and compliance requirements for the duration of the advisory engagement with the customer.
Minimum Qualification and Experience
Finance, Accounting, Economics or Engineering Degrees
CFA (Chartered Financial Analyst) or CA(SA) would be an advantage
3-5 years Corporate finance advisory experience at an investment bank or advisory team (M&A or valuations) at a Big 4 audit firm, technical proficiency in M&A and Corporate Finance Transactions, extensive transactional expertise, strong proficiency in financial modelling and valuations, interpretation and application of relevant regulatory and legal concepts.
Working knowledge of core equity and debt financing products as well as global markets and transactional products.
