    About Our Client – Ghana Infrastructure Investment Fund

  • The Ghana Infrastructure Investment Fund (“the Fund” or “GIIF”) is a corporate body wholly owned by the Republic of Ghana and established pursuant to the Ghana Infrastructure Investment Fund Act, 2014, Act 877. The Fund’s mandate is to mobilize, manage, coordinate, and provide financial resources for investment in a diversified portfolio of infrastructure projects in Ghana for national development.

    Job Description

  • We are seeking a Senior Transaction Counsel to Provide legal advisory services to support the investment and general operations of GIIF in compliance with the relevant laws of Ghana.

    Position Responsibilities

  • Provide transactions legal support to the corporation, including Due Diligence, investments and portfolio management.

  • Take the lead in vetting, drafting and finalising transaction legal documents, collaborating with the rest of the corporation as necessary.

  • Liaise with External Counsel on the finalization and execution of transaction documents

  • Provide legal support on project finance and private equity transactions

  • Provide legal advice or opinions on issues regarding the operations of GIIF within prescribed limit of authority.

  • Conduct research/studies to facilitate the preparation of project documents, contracts and agreements including due diligence on proposed businesses.

  • Prepare and review legal documents for filing at various courts.

  • Prepare documentation for Board and/or Sub-Committee meetings as

  • Follow up on Board decisions/directives as duly communicated to appropriate Divisions /Departments within agreed timelines.

  • Maintain and update the Fund’s records and other statutory documentation at the Registrar Generals’ Department as directed.

  • Maintain and update data on legal services and advice to support the operations of the Fund.

  • Stay abreast with legislations, rules /regulations, international best practices and new developments in legal services management.

  • Implement approved strategies, policies and procedures for the Legal Department to achieve targeted objectives.

  • Prepare monthly and periodic reports related to job function.

  • Perform any other duty(s) assigned by Superior Officers.



  • LLB or BA plus BL (Barrister at Law)

  • Membership of a recognised professional body.


  • Ten (10) years post qualification experience in related role.

    Knowledge & Skills

  • Extensive knowledge/understanding of Law reports, statutes, Acts, rules and regulations.

  • Good knowledge/understanding of funds management in an infrastructure investment setting.

  • In-depth knowledge and understanding of contract administration and management.

  • Good experience in international financial transactions.

  • Good knowledge in International banking and finance, Project Finance, Infrastructure Development and Public International Law.

  • Good negotiation, persuasion and conflict management skills.

  • Good knowledge and understanding in strategic planning and development.

  • Good knowledge and experience in board secretarial duties.

  • Absolute discretion in handling/dealing with confidential information/data.

  • Proven planning and organising skills.

  • Excellent communication, presentation and report writing skills.

  • Ability to meet deadlines and execute projects.

  • Good ability to work in a fast paced and often pressured environment.

  • Ability to maintain professional relationships with internal and external stakeholders and work effectively with all categories of employees.

  • Good knowledge in the use of Microsoft Word, PowerPoint, Excel and internet and other legal software and tools.

  • Good decision making based on thorough analysis.

  • Good managerial, coaching and interpersonal skills in a "team" setting.
