Job Purpose

  • This cadre is responsible for providing effective and efficient management of Board activities, contract administration, legislative drafting and ensure compliance with legal and regulatory legislation including provision of legal advice to members of management and the Board.

  • The Corporation Secretary/ Director and Legal Services will be responsible to the Chief Executive Officer and to the Board for providing strategic leadership and direction in the implementation of the Corporation Secretary and Legal Function.

  • The officer will be administratively reporting to the Chief Executive Officer and Technical functions to the Board and will be responsible for:

  • Providing guidance to the Board on their duties and responsibilities and on matters of governance;

  • Assisting the Board in carrying out the following: Board members induction and training;

  • Updating the Board and Committee Charters; preparing Board work plans; Board evaluation; Governance audit; and implementing the code of conduct and ethics;

  • Ensuring timely preparation and circulation of Board and Committee papers and minutes;

  • Custodian of the seal of the Organization and account to the Board for its use;

  • Maintaining and updating the register of conflicts of interest;

  • Ensuring that Board members are aware of all relevant laws affecting the Commission;

  • Facilitating effective communication between the Board and the shareholders; and

  • Ensuring annual returns are promptly filed with the relevant authorities.

    Legal Services

  • Overseeing formulation and implementation of strategies on all legal matters;

  • Providing legal opinion or advice on governance matters within the Commission;

  • Authenticating documents issued to the commission as collateral, securities or support documents for loans and undertake conveyance;

  • Conducting investigation and preparation of witnesses for pre-trial and hearing;

  • Developing concept papers, legal briefs and opinions as well as effective defence strategies, arguments and testimony in preparation for legal proceedings of cases in liaison with external lawyers;

  • Maintaining an up-to-date record of gazetted matters which relate to the Commission;

  • Ensuring that the Commission complies with statutory and other regulatory requirements by undertaking periodic legal audit compliance; and

  • Coordinating the review of laws, by-laws and regulations relating to the commission.

    Person Specifications

    For appointment to this grade an officer must: -

  • Have a minimum of twelve (12) years’ relevant work experience, five (5) of which should have been in a senior management position;

  • Have
    Bachelor of Laws degree (LLB) or equivalent qualification from a recognized institution;

  • Have Masters of Laws degree (LLM), Business Administration, Public Administration, Public Administration, or equivalent qualifications from recognized institution;

  • Have Post graduate Diploma in Legal Studies (Advocates Training Programme) from the Council of Legal Education;

  • Be Advocate of the High Court of Kenya;

  • Have Current Advocates Practicing Certificate;

  • Membership to the Law Society of Kenya (LSK) and the Institute of Certified Public Secretaries of Kenya (ICPS (K).

  • Be Certified Public Secretary of Kenya (CPSK);

  • Certificate in Leadership Course lasting not less than four (4) weeks from a recognized institution

  • Be Proficient in computer applications;

  • Have demonstrated professional competence and merit as reflected in work performance and results; and

  • Meet the requirements of Chapter Six of the Constitution.

    Integrity Clearance:

  • In addition to the qualifications set above, shortlisted candidates will be required to provide copies of clearance certificates/letters of good standing from the following;

  • Ethics and Anti-Corruption Commission (EACC).

  • Criminal Investigation Department (CID).

  • Kenya Revenue Authority (KRA).

  • Higher Education Loans Board (HELB).

  • Credit Bureau Reference.
